TERMS AND CONDITIONS OF GOODS AND/OR SERVICES

These Terms and Conditions of Goods and/or Services (these “Terms and Conditions”) shall govern the provision of goods and services to any Customer pursuant to any Order. Should any other document or instrument outline varying terms to regulate the relationship, it shall be considered only for supplementing terms which are not outlined herein. Where there is any conflict or inconsistency between this Agreement and ANY other document (including Customer terms, purchase orders or other written instruments submitted by Customer) which related to the same Services and/or Deliverables, this Agreement shall prevail and govern.

1. Definitions.

For purposes of these Terms and Conditions, the following terms shall have the following meanings:

This “Agreement”, as between Company and Customer set forth in each Order, means such Order inclusive of these Terms and Conditions which are incorporated therein. For the avoidance of doubt, each Order (inclusive of these Terms and Conditions) with a Customer shall constitute a separate Agreement.

Company” means any of the following companies or divisions, as reflected in the applicable Order:

Customer” means the party to which Company shall provide goods and/or services as reflected in the applicable Order.

Deliverables” means the goods, products or materials created, developed and/or produced by Company for the Customer pursuant to the applicable Order.

Intellectual Property” means intellectual works which have been created and memorialized, including copyrights, patents, trademarks, trade secrets, trade or business names, and other intellectual property. Additional examples (though not exhaustive) include rights in computer software, databases, moral rights, service marks, proprietary knowledge, registered or unregistered rights in any designs, applications for any of the foregoing, know-how, secret formulae and processes, and other rights and forms of protection of a similar nature to any of the foregoing or having equivalent effect, anywhere in the world.

Order” means a purchase order, task order, work order, statement of work, schedule or other instrument mutually agreed by Company and Customer, including but not limited to any bid, proposal, quote, estimate, budget or similar instrument submitted by Company which is accepted by Customer. Each Order shall be subject to these Terms and Conditions.

Parties” (and each individually a “Party”) means Company and Customer, as reflected in the applicable Order.

Services” means the goods, products, work and services provided by Company to Customer as set forth in the applicable Order.

2. Services; Formation of Agreement.
  1. Company shall provide to Customer the Services and Deliverables as set forth in each Order, subject solely to the terms, provisions and conditions set forth in this Agreement. An Order must be agreed to, or written confirmation of approval of 100% of an Order must be received by Company, before any Services shall commence.
  2. Upon requesting, or confirming acceptance of an Order for the provision of, Services and/or Deliverables from Company, Customer shall be deemed to have accepted these Terms and Conditions, and the Agreement shall become binding as between Customer and Company, notwithstanding the absence of any formal acknowledgement.
  3. Customer and Company may enter into an agreement for Services and/or Deliverables which will constitute a separate binding contract between the Parties which shall incorporate (with any necessary changes) these Terms and Conditions. In the case of any conflict or inconsistency between these Terms and Conditions and any subsequent contract between the Parties for Services and/or Deliverables, these Terms and Conditions shall control unless expressly stated otherwise in such subsequent contract.
3. Delivery.
  1. Notwithstanding a statement that time is of the essence for specified Services or Deliverables, the time for performance of Services or delivery of the Deliverables shall in every case be dependent upon prompt receipt of all necessary information, materials (including Customer Materials (as defined herein)), final instructions and/or approvals from Customer.
  2. Where the Deliverables are to be delivered electronically, Customer acknowledges and agrees that (i) electronic delivery is not a completely secure medium of communication and that an unauthorized third party may intercept, tamper with or delete the Deliverables to be delivered electronically; and (ii) electronic delivery may involve reliance upon third party providers and data carriers, over which Company has no control.
  3. Company shall not be responsible for and shall have no liability to Customer or any third party for (i) any delay in delivery or any non-receipt of any Deliverables delivered electronically; (ii) any loss or damage (including loss of data) that results from any person gaining unauthorized access to any Deliverables delivered electronically; (iii) use or disclosure of any data obtained by any third party as a result of that third party gaining unauthorized access to any Deliverables delivered electronically; or (iv) any loss or damage resulting from any malfunction of or the introduction of any viruses, worms, logic bombs, time locks, time bombs, trojan horses and/or bugs to any equipment and/or software used to effect and/or receive any Deliverables delivered electronically.
  4. Except as required under applicable law, Customer will have thirty (30) days from delivery to communicate any material defect of any Deliverable. Customer’s sole and exclusive remedy, as determined at the sole discretion of Company, at no additional cost to Customer, shall be reperformance of the relevant Service(s), replacement of the defective Deliverable(s) or a refund of any portion of the received Fee relating to such Deliverable(s) and/or Services.
4. Payment of Fees and Expenses.
  1. All fees and other charges payable to Company in exchange for Services performed or Deliverables delivered hereunder (collectively, “Fees”) and any reasonable out-of-pocket expenses paid by Company for or on behalf of Customer in connection with such Services and/or Deliverables (collectively, “Expenses”) shall be set forth in invoices delivered by Company to Customer pursuant to and in accordance with the timeline set forth in the applicable Order for such Services and/or Deliverables.
  2. The Fees and Expenses set forth in any such invoice shall be paid by Customer to Company without set-off, withholding or deduction within thirty (30) days of receipt of such invoice, unless otherwise provided in the applicable Order and/or applicable law. Partial payment in advance of commencing Services may be required and will be outlined in the Order.
  3. Company shall be entitled to amend or supplement an Order (subject to Customer’s prior written consent, which shall not be unreasonably withheld) in the event that additional costs are incurred or likely to be incurred. Examples of additional costs arise when: Customer Materials are unsuitable for quality processing, information is missing, Customer requests changes or fails to provide timely instruction/approvals, third party costs or currency fluctuations occur.
  4. If Customer fails to make payment of any Fees and Expenses when due, Company may charge interest on such unpaid amount at the rate of one and one-half percent (1.5%) per month (or, if lower, the highest interest rate permitted by applicable law), and adjust the unpaid amount according to the variation of the Índice Geral de Preços de Mercado published by Fundação Getúlio Vargas (IGP-M/FGV), in both cases from the date on which such unpaid amount was due until the date on which such unpaid amount plus accrued but unpaid interest thereon have been paid in full.
  5. Customer shall have thirty (30) days from the date of any invoice within which to notify Company in writing of a bona fide dispute relating to any Fees and Expenses set forth in such invoice. In the event of a bona fide dispute regarding any Fees or Expenses, Customer shall pay the Fees and Expenses that are not in dispute and shall provide written notice of the disputed Fees or Expenses within thirty (30) days of receipt of the relevant invoice. Such notice shall include an explanation of the disputed portion of the Fees and Expenses, the basis of the dispute and a proposed resolution. The Parties shall use commercially reasonable efforts to resolve all disputes in good faith and as promptly as possible in accordance with the dispute resolution provisions in Section 19 of these Terms and Conditions. Upon resolution of any such dispute, if it is determined, Customer shall pay the disputed amount to Company within ten (10) days of such resolution.
  6. Unless expressly provided in an Order or invoice, all pricing shall be exclusive of applicable taxes. Customer shall be responsible for all sales, use and excise taxes, and any other similar taxes, duties and charges of any kind imposed by any federal, state or local governmental entity on any amounts payable by Customer hereunder, except Company shall be responsible for any taxes on its income, revenues, gross receipts, personnel, real or personal property or other assets.
 
5. Term and Termination.
  1. The term of this Agreement, with respect to any Order, shall commence as of the effective date set forth in such Order or the date on which Customer confirms acceptance of such Order, and shall continue in effect thereafter (i) for the period, or until the expiration date, set forth in such Order, or (ii) if no such period or expiration date is reflected in the Order, indefinitely, in each case unless or until terminated by the Parties mutually in writing or otherwise in accordance with the provisions of this Agreement.
  2. Either Party shall be entitled to terminate this Agreement with immediate effect in the event that the other Party commits a material breach of this Agreement which is either not capable of remedy or which that Party fails to remedy within thirty (30) days following receipt of a written notice of such material breach.
  3. Either Party shall be entitled to terminate this Agreement immediately by written notice to the other Party in the event that the other Party is adjudicated bankrupt, is determined to be insolvent, files a voluntary petition in bankruptcy, makes an assignment for the benefit of creditors or seeks protection against creditors under any applicable federal or state laws, or if there is a commencement of any bankruptcy, insolvency, receivership or other similar proceeding against the other Party that is not dismissed within sixty (60) days after such filing.
  4. Company may terminate this Agreement (and any Services to be provided under it) at any time upon written notice to Customer. Termination under this paragraph shall be without prejudice to any other rights or remedies available to Company (including the right of Company to recover payment from Customer for any Services or Deliverables provided).
  5. Upon termination or expiration of this Agreement, Customer shall immediately pay all outstanding Fees and Expenses to Company as of and until the effective date of termination. Any right or obligation of the Parties pursuant to this Agreement which by its nature survives termination or expiration of this Agreement (including, without limitation, Sections 6, 7 and 8) will survive any such termination or expiration of this Agreement for the period specified therein or, if not so specified, indefinitely.
  6. If work is rejected by Customer on the basis of style or composition, all Fees and Expenses contained within the Order will remain applicable and payable in full to Company. With respect to any photographic and film productions, if postponement is required due to weather conditions, Customer shall pay the full amount as specified in the agreed Order, unless such postponement is made more than twenty-four (24) hours prior to departure of Company personnel to the location, unit base or studio, in which event Customer shall pay 50% of the Fees, and all Expenses, incurred as of the time of postponement.
 
6. Intellectual Property.
  1. Existing Intellectual Property Rights. All right, title and interest in and to any existing Intellectual Property belonging to a Party (whether by ownership, license or otherwise) prior to the date of this Agreement or generated, developed or created by or on behalf of a Party outside the scope of this Agreement shall remain vested solely in that Party. Nothing in this Agreement or the provision of the Services and/or Deliverables shall operate to transfer any Intellectual Property to or from either Party except as expressly provided herein.
  2. Customer Intellectual Property Rights. Unless otherwise provided in the applicable Order, all right, title and interest in and to all Deliverables and all Intellectual Property (including all inventions, improvements, and discoveries), created or developed by Company at Customer’s specific written request and cost (whether independently or jointly with the Customer), in the performance of the Services shall vest solely in the Customer upon full and complete payment therefor, with effect from delivery thereof. Subject to payment therefor by Customer, Company hereby irrevocably assigns to Customer all right, title, and interest in and to all such Customer Deliverables and Intellectual Property.
  3. Customer Materials. Customer confirms it owns or has obtained the legal right to use any data, content, material, concepts, designs, images or other forms of content (including the Intellectual Property therein) it submits to Company for use in the performance of the Services or to incorporate into any Deliverables produced under this Agreement (collectively, “Customer Materials”). Additionally, Customer grants to Company, during the term of this Agreement, a non-exclusive, royalty-free, worldwide, fully paid-up license (with a right to grant sublicenses to subcontractors and vendors to assist in the Services) to make, have made, develop, market, import, transfer, practice, transmit, broadcast, reproduce, perform, display, modify, create derivative works based upon, distribute (electronically or otherwise), disclose, purchase, manufacture or otherwise use (collectively, “Use”) the Customer Materials to the extent necessary to perform the Services and produce the Deliverables under this Agreement. Customer shall indemnify and hold harmless Company and its affiliates, officers, directors, owners, employees, agents, successors and assigns from and against any and all claims, losses, damages, awards, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and expenses) that any such indemnified party may incur or suffer arising out of or relating to any claims that the Customer Materials infringe the Intellectual Property rights of any third party or fail to comply with applicable law, rules or regulations.
  4. Company Intellectual Property. Notwithstanding anything herein to the contrary, nothing in this Agreement shall affect Company’s ownership of Intellectual Property rights with respect to Company’s proprietary methods and processes utilized by Company to perform the Services and produce the Deliverables (collectively, “Company Intellectual Property”), which shall remain vested solely in Company. Company grants to Customer a non-exclusive, royalty-free, worldwide, non-transferable license to Use such Company Intellectual Property to the extent necessary for Customer to enjoy the full benefit of the Services during the term of this Agreement and the Deliverables. Except for the license granted under this paragraph, Company retains all right, title and interest in and to all such Company Intellectual Property. Company shall indemnify and hold harmless Customer and its affiliates, officers, directors, owners, employees, agents, successors and assigns from and against any and all claims, losses, damages, awards, liabilities, costs and expenses (including without limitation reasonable attorneys’ fees and expenses) that any such indemnified party may incur or suffer arising out of or relating to any claims that the Company Intellectual Property infringes the Intellectual Property rights of any third party or fails to comply with applicable law, rules or regulations.
 
7. Confidentiality; Non-Solicitation.
  1. Confidentiality. In the course of performing this Agreement, each Party (the “Disclosing Party”) may disclose to the other Party (the “Receiving Party”) confidential information, in any form (including oral, written, electronic, tape, disk, physical or visual), regarding the Disclosing Party, its affiliates, customers, clients, licensors, vendors, employees or assigns, which the Receiving Party, because of legends or other markings, the circumstances of disclosure or the nature of the information itself, should be known as confidential information of the Disclosing Party (“Confidential Information”). Each Party agrees that, during the term of this Agreement and for two (2) years thereafter, all such Confidential Information acquired by the other Party hereunder shall be held in confidence, and neither Party shall, directly or indirectly, disclose, reveal or make available, or use (except solely for the purpose of performing its obligations or enforcing its rights under this Agreement) any such Confidential Information of the Disclosing Party without the Disclosing Party’s prior written consent. Notwithstanding the preceding sentence, a Receiving Party’s obligations under this paragraph shall continue in effect indefinitely with respect to Confidential Information that constitutes a trade secret for so long as such Confidential Information remains a trade secret. The Receiving Party shall disclose Confidential Information only to those of its officers, directors, employees, vendors, subcontractors, representatives, advisors and agents who have a reasonable need to know in connection with the performance or enforcement of this Agreement, provided that (x) each such recipient shall be informed of the Disclosing Party’s obligations under this Section and shall agree or otherwise be bound to protect such Confidential Information with the same degree of care that it employs for the protection of its own confidential and proprietary information of a similar nature, but not less than reasonable care, and (y) the Receiving Party shall be responsible for any breach of this paragraph by any such recipient of Confidential Information. The Receiving Party shall not have any obligation under this paragraph with respect to information that (i) is in the public domain or becomes part of the public domain through no fault of the Receiving Party, (ii) was in the possession of or disclosed to the Receiving Party prior to disclosure by the Disclosing Party, free of any obligation to the Disclosing Party to keep the same confidential, (iii) is lawfully acquired by the Receiving Party from a third party under no obligation of confidentiality to the Disclosing Party or (iv) the Receiving Party is obligated under law or court order to disclose; provided, however, the Party required to so disclose shall give prompt written notice thereof to the Disclosing Party. For clarity, each Party shall treat this Agreement and its terms as Confidential Information and shall not reference them or disclose them in violation of this paragraph. Upon expiration or termination of this Agreement, each Party shall return (or, at the Disclosing Party’s request, destroy) all Confidential Information (including any copies, reproductions, duplicates or notes containing Confidential Information) of the Disclosing Party in the Receiving Party’s possession to the Disclosing Party.
  2. Non-Solicitation. Customer acknowledges and agrees that personnel employed or engaged by Company in the performance of, or in connection with, the Services (“Company Personnel”) are important assets of Company. Accordingly, at all times during the term of this Agreement and for a period of six (6) months thereafter, Customer shall not, without the prior written consent of Company, directly or indirectly employ, offer to employ, retain as an independent contractor or offer to retain as an independent contractor, any Company Personnel; provided, that such restriction shall not apply to any Company Personnel hired through a general advertising campaign not directed at Company Personnel.
  3. Remedies. Company and Customer further acknowledge that a monetary remedy for a breach of any provision of this Section 7 would be inadequate and that such breach would cause the non-breaching Party irrevocable harm. As such, the non-breaching Party will be entitled, without the posting of a bond and in addition to any other remedies available to it at law or equity, to temporary and permanent injunctive relief, including temporary restraining orders, or other equitable relief in the event of any breach, attempted breach or alleged breach. The provisions of this Section 7 shall survive the termination of this Agreement as provided herein.
 
8. Limited Warranty and Limitation of Liability.
  1. Company makes no warranties with respect to the Services except as expressly provided herein. Any other warranties, express and implied, are hereby expressly disclaimed.
  2. Notwithstanding any provision of this Agreement or any Order to the contrary, but subject to applicable law, in no event shall either Party be liable to the other Party or to any third party for any loss of use, business, revenue, business interruption, anticipated savings, goodwill, profits or data, any diminution in value or any consequential, incidental, indirect, exemplary, special, or punitive damages, in each case whether arising directly or indirectly or out of breach of contract, tort (including negligence) or otherwise, regardless of whether such damage was foreseeable and whether or not either Party has been advised of the possibility of such damages, and notwithstanding the failure of any agreed or other remedy of its essential purpose.
  3. Notwithstanding any provision of this Agreement or any Order to the contrary, but subject to applicable law, in no event shall Company’s aggregate liability arising out of or relating to this Agreement with respect to any Order exceed the aggregate Fees paid to Company pursuant to such Order in the twelve (12) month period immediately preceding the event giving rise to the claim.
  4. In no event shall Company have any liability to Customer resulting from (i) any damage to person or property or breach of this Agreement arising from any act or omission of Customer or its affiliates (including their respective officers, directors, owners, employees, consultants, freelancers and agents), or (ii) Company’s (including by its employees, subcontractors, vendors or agents) performance of Services in accordance with Customer’s written instructions or specifications.
  5. Each Party will only look to the other Party and not to any director, officer, employee, consultant, freelancer or agent of the other Party for satisfaction of any claim, demand or cause of action for damages, injuries or losses incurred as a result of the other Party’s action or inaction.
  6. Nothing in the Agreement shall exclude or in any way limit either Party’s liability for a claim of fraud or any other liability which cannot be excluded or limited as a matter of law.
 
9. Data Protection.

Each Party shall comply with the provisions of any local data protection laws (as amended or re-enacted from time to time, “DP Laws”), to the extent directly applicable in the receipt or delivery of Services under this Agreement. If the Customer provides any personal data to Company, it will only do so in a way that complies with DP Laws and any other applicable legislation relating to the handling of such personal data and in an appropriately secure or encrypted format. In particular, the Parties acknowledge and agree that Customer will only instruct Company to process personal data on its behalf by entering into a separate data processing agreement with Company which is compliant with the terms of DP Laws. Customer acknowledges that Company shall not be liable for any costs, fines, damages or liabilities that may arise from any processing of personal data by Company on behalf of Customer if Customer has failed to provide written instructions in the form of a legally compliant data processing agreement as required by this Section.

 
10. Publicity.

No announcement, communication or publicity of any kind relating to the terms of this Agreement shall be made or issued by either Party to this Agreement without the prior written consent of the other Party (such consent not to be unreasonably withheld or delayed), provided that Company retains the right to publicize, advertise and market the Deliverables or any associated products and materials, original character design, ideas or concepts that have been created, developed and/or produced by Company in relation to the Agreement on its website(s), social media site(s), blog(s), in pitches to third parties, in connection with any appropriate industry awards, or in any other manner, as Company may in its sole discretion determine, without the prior written consent of Customer. Customer hereby grants to Company a perpetual, non-exclusive, transferable, sub-licensable, royalty-free license to use the Deliverables throughout the world for the to promote its business by whatever means it sees fit.

 
11. Insurance.

Each of Company and Customer shall maintain and keep effective, during the term of this Agreement and for one year thereafter, sufficient insurance policies to protect such Party against any loss or liability which it may incur or suffer arising out of the Agreement.

 
12. Storage of Client Materials.

Company shall be under no liability whatsoever for any loss, damage to or destruction of Customer Materials (whether such Customer Materials are in the possession of Company or otherwise) and it is Customer’s responsibility to ensure that it has appropriate back-up copies of all Customer Materials. In accordance with Section 11 above, Customer shall insure all Customer Materials to their full value against all risks. Where Customer Materials are supplied or specific instructions are given by Customer, Company accepts no liability for any reduction in the quality of the Services caused by defects or errors in or the unsuitability of such Customer Materials or by Company’s use of Customer Materials or adherence to any of Customer’s specific instructions.

 
13. Notices.

All notices, requests, consents, waivers and other communications under this Agreement must be in writing and addressed to the other Party at its address set forth in the Order (or to such other address that the receiving Party may designate from time to time in accordance with this Section). Unless otherwise agreed herein, all notices must be delivered by personal delivery, nationally recognized overnight courier or certified or registered mail (in each case, return receipt requested, postage prepaid), or by email with confirmation of receipt.

 
14. Severability.

If any term or provision of the Agreement (or part thereof) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, such term or provision (or part thereof) shall, to the extent required, be excised from the Agreement, and the validity and enforceability of the remaining provisions of the Agreement shall not be affected. A court of competent jurisdiction may modify the invalid, illegal or unenforceable term or provision to reflect the initial intention of the Parties.

 
15. Waiver.

No waiver, failure to, or delay in exercising any right by any Party of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by the Party so waiving. Waivers shall only be effective if they are in writing and signed by the Party against whom the waiver is to be enforced. No waiver given by either Party hereunder shall be construed as a continuing waiver thereof or a waiver of any other or subsequent breach of this Agreement.

 
16. Assignment.

No Party shall assign, transfer, delegate or subcontract any of its rights or obligations under this Agreement without the prior written consent of the other Party. Notwithstanding the foregoing, without Customer’s consent, Company may (i) assign any of its rights or delegate any of its obligations to any affiliate, or any company acquiring all or substantially all of Company’s assets or Company’s stock, or (ii) assign or delegate any of its obligations to any subcontractor, vendor or affiliate, provided that Company shall remain liable to Customer for the performance of the Services under this Agreement or (iii) assign its receivables under this Agreement to a third party lender in connection with an approved financing. This Agreement is binding on and inures to the benefit of the Parties to this Agreement and their respective permitted successors and permitted assigns.

 
17. Relationship of the Parties.

Company’s relationship to Customer shall be that of an independent contractor. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the Parties, and neither Party shall have authority to contract for or bind the other Party in any manner whatsoever.

 
18. No Third-Party Beneficiaries.

This Agreement is entered into solely between, and may be enforced only by, the Parties and their permitted successors and assigns, and neither this Agreement nor any Order shall be deemed to create any rights in third parties.

 
19. Dispute Resolution.

In the event of a dispute arising under this Agreement, the Parties shall use their best commercial efforts to negotiate and settle amicably such dispute. The Parties agree in the first instance to refer any dispute to their respective account managers. Should the account managers fail to reach resolution within ten (10) business days of referral of the dispute, then the dispute shall be referred to the immediate line manager of the respective account managers for resolution. Should the immediate line managers be unsuccessful in resolving the dispute within ten (10) business days of the dispute being referred to them for resolution, then the dispute shall be referred to the appropriate senior managers of the Parties. Provided the procedure set out in this Section has been exhausted or frustrated, nothing in this Section shall prevent the Parties from being entitled to commence or continue dispute resolution proceedings at any time thereafter, and in terms of the following clause.

 
20. Governing Law; Dispute Resolution; Waiver of Right to Jury Trial.

This Agreement and all incorporated documents shall be interpreted and governed by the laws of Mexico without regard to the conflict of law principles thereof. Each Party hereby waives any right it may have to a trial by jury and agrees to confidential arbitration. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be determined by arbitration administered by the International Centre for Dispute Resolution in accordance with its International Arbitration Rules. Each Party waives any defense of forum non-conveniens, and irrevocably agrees to be bound by any arbitral award rendered thereby in connection with this Agreement.

 
21. Force Majeure.

Company shall not be liable, responsible or be deemed to have defaulted or breached this Agreement for any failure or delay in performing any of its obligations under this Agreement when and to the extent such failure or delay is caused by acts or circumstances beyond the reasonable control of Company, including without limitation, act of God, strikes, fire, flood, explosion, civil disturbance, acts of terrorism, epidemic or pandemic events, interference by civil or military authority, accident, labor disputes or shortages, or because the continuation of the Services would be in violation of any governmental laws, rules or regulations or would cause or create any material safety, health or environmental concerns or for other causes beyond the reasonable control of Company.

 
22. Entire Agreement; Amendment.

This Agreement (comprised of the Order and these Terms and Conditions) constitutes the sole and entire agreement of the Parties with respect to the subject matter of this Agreement and supersedes all other written and oral agreements, commitments or understandings between the Parties regarding such subject matter. All goods or services offered by Company shall be subject to these Terms and Conditions, which are hereby incorporated into any Order between Company and Customer to the exclusion of any terms or conditions stipulated or referred to by Customer. Any dealings with Company following receipt by Customer of notice of these Terms and Conditions shall automatically be deemed acceptance of these Terms and Conditions notwithstanding the absence of formal acknowledgement. Any amendment or modification to this Agreement shall be in writing and signed by a duly authorized representative on behalf of each of the Parties.

TÉRMINOS Y CONDICIONES DE BIENES Y/O SERVICIOS

Estos Términos y Condiciones de Bienes y/o Servicios (estos “Términos y Condiciones”), regirá la provisión de bienes y servicios para cualquier Cliente de conformidad con cualquier Orden. En caso de que en algún otro documento o instrumento se establezcan términos diferentes para regir esta relación, solo será considerado para complementar los términos que no se encuentren en este documento. En caso de que exista algún conflicto o inconsistencia entre este Contrato y CUALQUIER otro documento (incluyendo términos del Cliente, órdenes de compras u otros instrumentos escritos presentados por el Cliente) que se relaciones a los mismos Servicios y/o Productos, este Contrato prevacelerá y regirá.

1. Definiciones.

Para efectos de estos Términos y Condiciones, los siguientes términos tendrán estos significados:

Este “Contrato” celebrado entre la Compañía y el Cliente que se determine en cada Orden, significa tal Orden, incluyendo estos Términos y Condiciones que se incorporan a la misma. Para evitar dudas, cada Orden (que incluye estos Términos y Condiciones) con un Cliente constituirá un Contrato por separado.

“Compañía” significa cualquiera de las siguientes compañías o divisiones según se determine en la Orden aplicable:

“Cliente” significa la parte a la cual la Compañía proporcionará bienes y/o servicios conforme se establezca en cada Orden aplicable.

“Entregables” significa los bienes, productos o materiales creados, desarrollados y/o producidos por la Compañía para el Cliente de acuerdo con la Orden aplicable.

“Propiedad Intelectual” significa las obras intelectuales que han sido creadas y registradas, incluyendo derechos de autor, patentes, marcas, secretos industriales, nombres de comercios o negocios y demás obras de propiedad intelectual. Ejemplos adicionales (sin ser exhaustivos) incluyen los derechos de softwares de computadoras, bases de datos, derechos morales, marcas de servicios, conocimiento patentado, derechos registrados o sin registrar respecto cualquier diseño, aplicaciones para cualquiera de los anteriores, know-how, fórmulas secretas y procesos, y otros derechos y formas de protección de naturaleza similar a los anteriores o que tengan el mismo efecto en cualquier parte del mundo.

“Orden” significa una orden de compra, orden de trabajo, declaración de trabajo, esquema u otro instrumento acordado por la Compañía y el Cliente, incluyendo más no limitando a cualquier oferta, propuesta, cotización, estimado, presupuesto o instrumento similar presentado por la Compañía y aceptado por el Cliente. Cada Orden estará sujeta a estos Términos y Condiciones.

“Partes” (y cada uno en lo individual la “Parte”) es la Compañía y el Cliente, tal y como se refleje en la Orden aplicable.

“Servicios” significa los bienes, productos, trabajo y servicios proporcionados por la Compañía al Cliente como se establezca en la Orden aplicable.

 
2. Servicios: Creación del Contrato.
  1. La Compañía deberá de proporcionar al Cliente los Servicios y Entregables que se establezcan en cada Orden, sujeto únicamente a los términos, disposiciones y condiciones establecidos en este Contrato. Una Orden deberá de ser acordada, o la Compañía deberá recibir confirmación por escrito de la aprobación del 100% de la Orden, antes de que cualquier Servicio comience.
  2. Al solicitar o confirmar la aceptación de una Orden para la prestación de Servicios y/o Entregables por parte de la Compañía, se considerará que el Cliente ha aceptado estos Términos y Condiciones y el Contrato resultará vinculantre para el Cliente y la Compañía, no obstante la ausencia de cualquier reconocimiento formal.
  3. El Cliente y la Compañía podrán celebrar un contrato para Servicios y/o Entregables el cual constituirá un nuevo contrato vinculante entre las Partes, que deberá de contener (con los cambios necesarios) estos Términos y Condiciones. En caso de conflicto o inconsistencia entre estos Términos y Condiciones y cualquier contrato subsecuente entre las Partes de Servicios y/o Entregables, estos Términos y Condiciones prevalecerán a menos que se establezca lo contrario en el contrato subsecuente.
 
3. Entrega
  1. Sin perjuicio de la declaración de que el tiempo es esencial para los Servicios o Entregables especificados, el tiempo para la provisión de Servicios o entrega de los Entregables, dependerá en todo caso de la pronta recepción de la información necesaria, materiales (incluyendo los Materiales de los Clientes (como aquí se define)), instrucciones finales y/o aprobaciones del Cliente.
  2. Cuando los Entregables se deban entregan de forma electrónica, el Cliente reconoce y acuerda que (i) la entrega electrónica no es un medio completamente seguro de comunicación y que un tercero no autorizado pudiera interceptar, manipular o borrar los Entregables a ser entregados electrónicamente; y (ii) la entrega electrónica podría involucrar la dependencia de terceros proveedores y portadores de datos sobre los cuales la Compañía no tiene control.
  3. La Compañía no será responsable y no tendrá responsabilidad alguna frente el Cliente o frente terceros por (i) cualquier retraso en la entrega o la no recepción de cualquier Entregable que se haya entregado electrónicamente; (ii) cualquier pérdida o daño (incluyendo pérdidas de datos) que resulten de cualquier persona que obtenga acceso no autorizado a cualquier Entregable entregado electrónicamente; (iii) el uso o divulgación de cualquier dato obtenido por terceros como resultado de que ese tercero tenga acceso sin autorización a los Entregables entregados electrónicamente; o (iv) cualquier pérdida o daño resultante de cualquier malfuncionamiento o la introducción de virus, gusanos, bombas lógicas, bloqueos de tiempo, bombas de tiempo, caballos de troyan y/o fallas a equipos y/o software usado para efectuar y/o recibir Entregables entregados de forma electrónica.
  4. A excepción de lo requerido por la ley aplicable, el Cliente tendrá treinta (30) días a partir de la entrega para comunicar cualquier defecto de los Entregables. El único y exclusivo remedio del Cliente, determinado a la entera discreción de la Compañía, sin costo adicional para el Cliente, será la ejecución de nueva cuenta del Servicio(s), el reemplazo del Entregable(s) defectuoso o el reembolso de la porción del Cargo recibido relacionado con dicho Entregable(s).
 
4. Pago de Cargos y Gastos
  1. Todos los cargos y demás costos pagables a la Compañía a cambio de la prestación de los Servicios o entrega de los Entregables conforme el presente (en conjunto “Cargos”) y cualquier gasto corriente razonable pagado por la Compañía para o en nombre del Cliente con relación a dichos Servicios y/o Entregables (en conjunto “Gastos”) deberán de establecerse en las facturas entregadas por la Compañía al Cliente conforme y de acuerdo con el plazo establecido en la Orden aplicable para dichos Servicios y/o Entregables.
  2. Los Cargos y Gastos establecidos en cualquier factura deberán de ser pagados por el Cliente a la Compañía sin compensación, retención o deducción alguna dentro de los treinta (30) días a partir de la recepción de la factura, a menos que se disponga lo contrario en la Orden y/o ley aplicable. Pagos parciales previo al comienzo de los Servicios podrán ser requeridos y se establecerán en la Orden.
  3. La Compañía tendrá derecho a enmendar o complementar una Orden (sujeto al consentimiento previo por escrito del Cliente, el cual no se denegará sin motivo razonable) en caso de que se incurra en gastos adicionales o sea probable que se incurra en ellos. Ejemplos de costos adicionales surgen cuando: los Materiales del Cliente no son adecuados para el proceso de calidad, falta de información, el Cliente solicite cambios o no proporcione instrucciones/aprobaciones oportunas, se produzcan costos de terceros o fluctuaciones de divisas.
  4. Si el Cliente no realiza el pago de los Cargos y Gastos en tiempo, la Empresa podrá cobrar intereses sobre la cantidad adeudada a razón del uno punto cinco por ciento (1,5%) por mes (o, si es inferior, el tipo de interés más alto permitido por la legislación aplicable) a partir de la fecha en que dicha cantidad no pagada debía ser pagada hasta la fecha en que dicha cantidad más los intereses acumulados pero no pagados sobre la misma hayan sido pagados en su totalidad.
  5. El Cliente tendrá treinta (30) días a partir de la fecha de cualquier factura para notificar a la Compañía por escrito de alguna disputa de buena fe en relación con los Cargos y Gastos establecidos en dicha factura. En caso de una disputa de buena fe en relación con cualquier Cargo o Gasto, el Cliente pagará los Cargos y Gastos que no estén en disputa y proveerá notificación por escrito de los Carlos o Gastos en disputa dentro de los treinta (30) días siguientes a la recepción de la factura correspondiente. Dicha notificación incluirá una explicación de la parte de los Cargos y Gastos objeto de la controversia, el fundamento de la misma y una propuesta de resolución. Las Partes realizarán esfuerzos comercialmente razonables para resolver todas las controversias de buena fe y tan pronto como sea posible, de conformidad con las disposiciones de resolución de controversias de la Sección 19 de estos Términos y Condiciones. Una vez resuelta la disputa, si así se determinara, el Cliente pagará la cantidad disputada a la Compañía en un plazo de diez (10) días a partir de dicha resolución.
  6. A menos que se indique expresamente en una Orden o factura, todos los precios no incluirán los impuestos aplicables. El Cliente será responsable de todos los impuestos sobre ventas, uso e impuestos especiales, y cualquier otro impuesto similar, gravámenes y cargos de cualquier tipo impuestos por cualquier entidad gubernamental federal, estatal o local sobre cualquier cantidad a pagar por el Cliente en virtud del presente, excepto que la Compañía será responsable de cualquier impuesto sobre sus ingresos, ganancias, ingresos brutos, personal, bienes inmuebles o muebles u otros activos.
 
5. Vigencia y Terminación
  1. La vigencia del presente Contrato, con respecto a cualquier Orden, comenzará a partir de la fecha efectiva establecida en dicha Orden o la fecha en que el Cliente confirme la aceptación de dicha Orden, y continuará en vigor a partir de entonces (i) durante el período, o hasta la fecha de vencimiento, establecida en dicha Orden, o (ii) si no se refleja el período o fecha de vencimiento en la Orden, de forma indefinida, en cada caso a menos que o hasta que las Partes acuerden mutuamente un término por escrito o de conformidad con las disposiciones del presente Contrato.
  2. Cualquiera de las Partes tendrá derecho a terminar el presente Contrato con efecto inmediato en caso de que la otra Parte cometa un incumplimiento sustancial del presente Contrato que no se pueda subsanar o que la Parte que incumplió no subsane dentro de los treinta (30) días siguientes a la recepción de una notificación por escrito de dicho incumplimiento sustancial.
  3. Cualquiera de las Partes tendrá derecho a dar por terminado el presente Contrato inmediatamente mediante notificación por escrito a la otra Parte en caso de que ésta se declare en quiebra, se determine que es insolvente, presente una petición voluntaria de quiebra, haga una cesión en beneficio de los acreedores o busque protección contra los acreedores en virtud de cualquier ley federal o estatal aplicable, o si se inicia un procedimiento de quiebra, insolvencia, administración judicial u otro procedimiento similar contra la otra Parte que no sea desestimado dentro de los sesenta (60) días siguientes a dicha presentación.
  4. La Compañía puede terminar este Contrato (y cualquier Servicio que se provea bajo el mismo) en cualquier momento mediante notificación por escrito al Cliente. La terminación bajo este párrafo será sin perjuicio de cualquier otro derecho o recurso disponible para la Compañía (incluyendo el derecho de la Compañía a recuperar el pago del Cliente por cualquier Servicio o Entregable proporcionado).
  5. A la terminación o vencimiento de este Contrato, el Cliente deberá pagar inmediatamente todos los Cargos y Gastos pendientes a la Compañía a partir de y hasta la fecha efectiva de terminación. Cualquier derecho u obligación de las Partes en virtud del presente Contrato que por su naturaleza permanezca vigente a la terminación o vencimiento del mismo (incluyendo, sin limitación, las Secciones 6, 7 y 8) sobrevivirá a dicha terminación o vencimiento del presente Contrato durante el período especificado en el mismo o, si no se especifica, de forma indefinida.
  6. Si el trabajo es rechazado por el Cliente por razones de estilo o composición, todos los Cargos y Gastos contenidos dentro de la Orden seguirán siendo aplicables y pagaderos en su totalidad a la Compañía. Con respecto a cualquier producción fotográfica o cinematográfica, si se requiere un aplazamiento debido a las condiciones meteorológicas, el Cliente pagará el importe total especificado en la Orden acordada, a menos que dicho aplazamiento se realice con más de veinticuatro (24) horas de antelación a la salida del personal de la Compañía a la locación, la unidad base o el estudio, en cuyo caso el Cliente pagará el 50% de los Costos, y todos los Gastos, incurridos al momento del aplazamiento.
 
6. Propiedad Intelectual
  1. Derechos de Propiedad Intelectual Existentes. Todo derecho, título e interés sobre cualquier Propiedad Intelectual existente que pertenezca a una Parte (ya sea mediante propiedad, licencia o de otro modo) antes de la fecha del presente Contrato o que haya sido generada, desarrollada o creada por o en nombre de una Parte fuera del ámbito del presente Contrato seguirá siendo propiedad exclusiva de esa Parte. Nada en este Contrato o en la prestación de los Servicios y/o Entregables funcionará para transferir ninguna Propiedad Intelectual a o desde cualquiera de las Partes, excepto en los casos expresamente previstos en el presente documento.
  2. Derechos de Propiedad Intelectual del Cliente. A menos que se disponga lo contrario en la Orden aplicable, todo derecho, título e intereses sobre todos los Entregables y toda la Propiedad Intelectual (incluidos todos los inventos, mejoras y descubrimientos), creados o desarrollados por la Compañía a petición específica por escrito del Cliente y a su cargo (ya sea de forma independiente o conjuntamente con el Cliente), en la prestación de los Servicios recaerán exclusivamente en el Cliente tras el pago total y completo de los mismos, con efecto a partir de la entrega de los mismos. Sujeto al pago por parte del Cliente, la Compañía por la presente asigna irrevocablemente al Cliente todos los derechos, títulos e intereses en y respecto todos los Entregables del Cliente y la Propiedad Intelectual.
  3. Materiales del Cliente. El Cliente confirma que es propietario o ha obtenido el derecho legal de utilizar cualquier dato, contenido, material, concepto, diseño, imagen u otras formas de contenido (incluyendo la Propiedad Intelectual correspondiente) que proporcione a la Compañía para su uso en el desempeño de los Servicios o para incorporarlo a cualquier Entregable producido en virtud del presente Contrato (colectivamente, “Materiales del Cliente“). Además, el Cliente concede a la Compañía, durante la vigencia del presente Contrato, una licencia no exclusiva, libre de regalías, mundial y totalmente pagada (con derecho a conceder sublicencias a subcontratistas y proveedores para ayudar en los Servicios) para hacer, hacer, desarrollar, comercializar, importar, transferir, practicar, transmitir, emitir, reproducir, ejecutar, mostrar, modificar, crear trabajos derivados basados en, distribuir (electrónicamente o de otra manera), revelar, comprar, fabricar o usar de otra manera (colectivamente, “Uso“) los Materiales del Cliente en la medida necesaria para ejecutar los Servicios y producir los Entregables bajo este Contrato. El Cliente deberá indemnizar y mantener indemne a la Compañía y sus afiliados, funcionarios, directores, propietarios, empleados, agentes, sucesores y cesionarios de y contra cualquier y todas las reclamaciones, pérdidas, daños, premios, responsabilidades, costos y gastos (incluyendo, sin limitación, los honorarios razonables de abogados y gastos) que cualquiera de esas partes indemnizadas puede incurrir o sufrir a raíz de o en relación con cualquier reclamación de que el Material del Cliente infringa los derechos de propiedad intelectual de cualquier tercero o no cumple con la ley, normas o reglamentos aplicables.
  4. Propiedad Intelectual de la Compañía Sin perjuicio de cualquier disposición contraria en el presente Contrato, nada en este Contrato afectará a la titularidad de los derechos de propiedad intelectual de la Compañía con respecto a los métodos y procesos de propiedad de la Compañía utilizados por ésta para realizar los Servicios y producir los Entregables (colectivamente, “Propiedad intelectual de la Compañía“), que seguirán siendo propiedad exclusiva de la Compañía. La Compañía concede al Cliente una licencia no exclusiva, libre de regalías, mundial e intransferible para utilizar dicha Propiedad intelectual de la Compañía en la medida necesaria para que el Cliente disfrute del beneficio total de los Servicios durante la vigencia de este Contrato y de los Entregables. Con excepción de la licencia concedida en virtud de este párrafo, la Compañía conserva todos los derechos, títulos e intereses sobre dicha Propiedad intelectual de la Empresa. La Compañía indemnizará y mantendrá indemne al Cliente y a sus afiliados, funcionarios, directores, propietarios, empleados, agentes, sucesores y cesionarios de y contra cualquier y todas las reclamaciones, pérdidas, daños, premios, responsabilidades, costos y gastos (incluyendo, sin limitación, los honorarios y gastos razonables de los abogados) en los que cualquier parte indemnizada pueda incurrir o sufrir a causa de o en relación con cualquier reclamación de que la Propiedad Intelectual de la Empresa infrinja los derechos de Propiedad Intelectual de cualquier tercero o no cumpla con la ley, normas o reglamentos aplicables.
 
7. Confidencialidad: Sin Solicitud
  1. Confidencialidad. En el curso de la ejecución del presente Contrato, cada Parte (la “Parte Reveladora“) podrá revelar a la otra Parte (la “Parte Receptora“) información confidencial, en cualquier forma (incluida la oral, escrita, electrónica, en cinta, en disco, física o visual), relativa a la Parte Reveladora, sus afiliados, los clientes, los licenciatarios, los vendedores, los empleados, los vendedores o los cesionarios, que la Parte Receptora, debido a las leyendas u otras marcas, las circunstancias de la divulgación o la naturaleza de la propia información, debe conocer como información confidencial de la Parte que la divulga (“Información Confidencial“). Cada una de las Partes acuerda que, durante la vigencia del presente Acuerdo y durante los dos (2) años siguientes, toda esa Información Confidencial adquirida por la otra Parte en virtud del mismo se mantendrá en secreto, y ninguna de las Partes revelará, directa o indirectamente, ni pondrá a disposición, ni utilizará (salvo con el único fin de cumplir sus obligaciones o hacer valer sus derechos en virtud del presente Contrato) dicha Información Confidencial de la Parte Reveladora sin el consentimiento previo por escrito de ésta. No obstante lo señalado en la oración anterior, las obligaciones de una Parte Receptora en virtud del presente párrafo continuarán en vigor indefinidamente con respecto a la Información Confidencial que constituya un secreto comercial mientras dicha Información Confidencial siga siendo un secreto comercial. La Parte Receptora revelará la Información Confidencial sólo a aquellos de sus funcionarios, directores, empleados, vendedores, subcontratistas, representantes, asesores y agentes que tengan una necesidad razonable de conocerla en relación con la ejecución o el cumplimiento de este Contrato, siempre que (x) cada uno de esos receptores sea informado de las obligaciones de la Parte Reveladora en virtud de la presente Sección y acuerde o esté obligado a proteger dicha Información Confidencial con el mismo grado de cuidado que emplee para la protección de su propia información confidencial y propietaria de naturaleza similar, pero no inferior al cuidado razonable, y (y) la Parte Receptora será responsable de cualquier incumplimiento de este párrafo por parte de cualquiera de esos receptores de Información Confidencial. La Parte Receptora no tendrá ninguna obligación en virtud del presente párrafo con respecto a la información que i) sea de dominio público o pase a serlo sin culpa de la Parte Receptora, ii) haya estado en posesión de la Parte Receptora o le haya sido revelada antes de su revelación por la Parte Reveladora, libre de cualquier obligación de ésta de mantener la misma confidencialidad, iii) haya sido adquirida legalmente por la Parte Receptora de un tercero sin obligación de confidencialidad para con la Parte Reveladora o iv) la Parte Receptora esté obligada por ley o por orden judicial a revelarla; siempre que, no obstante, la Parte obligada a revelarlo notifique rápidamente por escrito a la Parte Reveladora. En aras de la claridad, cada una de las Partes tratará el presente Contrato y sus términos como Información Confidencial y no hará referencia a ellos ni los revelará en violación del presente párrafo. Tras la expiración o terminación del presente Contrato, cada Parte deberá devolver (o, a petición de la Parte Reveladora, destruir) toda la Información Confidencial (incluidas las copias, reproducciones, duplicados o notas que contengan Información Confidencial) de la Parte Reveladora en posesión de la Parte Receptora a la Parte Reveladora.
  2. No Captación. El Cliente reconoce y acepta que el personal empleado o contratado por la Compañía en la ejecución de los Servicios o en relación con ellos (“Personal de la Compañía“) son activos importantes de la Compañía. En consecuencia, en todo momento durante la vigencia de este Contrato y por un período de seis (6) meses posterior, el Cliente no podrá, sin el consentimiento previo por escrito de la Compañía, directa o indirectamente emplear, ofrecer emplear, retener como contratista independiente u ofrecerse a retener como contratista independiente, a ningún Personal de la Compañía; siempre y cuando dicha restricción no se aplique a ningún Personal de la Compañía contratado a través de una campaña publicitaria general no dirigida al Personal de la Compañía.
  3. Remedios. La Compañía y el Cliente reconocen además que un remedio monetario por el incumplimiento de cualquier disposición de esta sección 7 sería inadecuado y que dicho incumplimiento causaría a la Parte no infractora un daño irrevocable. Como tal, la Parte no infractora tendrá derecho, sin el pago de una fianza y adicional a cualquier otro recurso disponible en la ley o la equidad, a una medida cautelar temporal y permanente, incluyendo órdenes de restricción temporal, u otro remedio equitativo en caso de cualquier incumplimiento, intento de incumplimiento o supuesto incumplimiento. Las disposiciones de la presente Sección 7 sobrevivirán a la terminación del presente Contrato según lo dispuesto en el mismo.
 
8. Garantía Limitada y Limitación de Responsabilidad.
  1. La Compañía no ofrece ninguna garantía con respecto a los Servicios, excepto en los casos expresamente previstos en el presente documento. Cualquier otra garantía, expresa o implícita, queda expresamente excluida por el presente.
  2. No obstante cualquier disposición del presente Contrato o cualquier Orden en contrario, pero sujeto a la legislación aplicable, en ningún caso ninguna de las Partes será responsable ante la otra Parte o ante un tercero por cualquier pérdida de uso, negocio, ingresos, interrupción del negocio, ahorros anticipados, fondo de comercio, beneficios o datos, cualquier disminución de valor o cualquier consecuencia, incidental, indirecta, ejemplar, daños especiales o punitivos, en cada caso, ya sea que se deriven directa o indirectamente o del incumplimiento de un contrato, de un acto ilícito (incluida la negligencia) o de otro modo, independientemente de que esos daños sean previsibles y de que se haya advertido o no a alguna de las Partes de la posibilidad de esos daños, y sin perjuicio de cualquier defecto respecto el fin esencial de cualquier remedio acordado o de otro tipo.
  3. Sin perjuicio de cualquier disposición del presente Contrato o de cualquier Orden en sentido contrario, pero sujeto a la legislación aplicable, en ningún caso la responsabilidad total de la Compañía que se derive del presente Contrato o esté relacionada con el mismo con respecto a cualquier Orden excederá de los Cargos totales pagados a la Compañía en virtud de dicha Orden en el período de doce (12) meses inmediatamente anterior al acontecimiento que da lugar a la reclamación.
  4. En ningún caso la Compañía tendrá ninguna responsabilidad frente al Cliente como resultado de (i) cualquier daño a la persona o a la propiedad o el incumplimiento del presente Contrato que se deriven de cualquier acto u omisión del Cliente o sus afiliados (incluyendo sus respectivos funcionarios, directores, propietarios, empleados, consultores, trabajadores autónomos y agentes), o (ii) el desempeño de la Compañía (incluyendo por sus empleados, subcontratistas, proveedores o agentes) en la prestación de los Servicios de conformidad con las instrucciones escritas o especificaciones del Cliente.
  5. Cada una de las Partes se dirigirá únicamente a la otra Parte y no a ningún director, funcionario, empleado, consultor, trabajador autónomo o agente de la otra Parte para satisfacer cualquier reclamación, demanda o causa de acción por daños, lesiones o pérdidas incurridas como resultado de la acción o inacción de la otra Parte.
  6. Nada de lo dispuesto en el Contrato excluirá o limitará en modo alguno la responsabilidad de cualquiera de las Partes en caso de reclamación por fraude o cualquier otra responsabilidad que no pueda ser excluida o limitada por ley.
 
9. Protección de Datos.

Cada una de las Partes cumplirá con las disposiciones de cualquier ley local de protección de datos (según se enmiende o se vuelva a promulgar de vez en cuando, “Leyes DP“), en la medida en que sea directamente aplicable a la recepción o entrega de Servicios bajo este Contrato. Si el Cliente proporciona cualquier dato personal a la Compañía, sólo lo hará de manera que cumpla con las Leyes DP y cualquier otra legislación aplicable relacionada con el manejo de dichos datos personales y en un formato seguro o codificado apropiado. En particular, las Partes reconocen y acuerdan que el Cliente sólo instruirá a la Compañía para que procese los datos personales en su nombre mediante la celebración de un contrato de procesamiento de datos separado con la Compañía que cumpla con los términos de las Leyes DP. El Cliente reconoce que la Compañía no será responsable de ningún costo, multa, daño o responsabilidad que pueda surgir de cualquier procesamiento de datos personales por parte de la Compañía en nombre del Cliente si el Cliente no ha proporcionado instrucciones por escrito en forma de un acuerdo de procesamiento de datos que cumpla con la ley, tal como se requiere en esta Sección.

 
10. Publicidad.

Ninguna de las Partes realizará o emitirá ningún anuncio, comunicación o publicidad de ningún tipo en relación con los términos del presente Contrato, sin el consentimiento previo y por escrito de la otra Parte (dicho consentimiento no deberá ser denegado o retrasado de forma injustificada), siempre y cuando la Compañía conserve el derecho a publicar, anunciar y comercializar los Entregables o cualquier producto y material asociado, diseño de personajes originales, ideas o conceptos que han sido creados, desarrollados y producidos por la Compañía en relación con el Contrato en su(s) sitio(s) web, sitio(s) de medios sociales, blog(s), en lanzamientos a terceros, en relación con cualquier premio apropiado de la industria, o de cualquier otra manera, como la Compañía pueda determinar a su sola discreción, sin el consentimiento previo por escrito del Cliente. Por la presente, el Cliente otorga a la Compañía una licencia perpetua, no exclusiva, transferible, sublicenciable y libre de regalías para utilizar los Entregables en todo el mundo para promover su negocio por cualquier medio que considere adecuado.

 
11. Seguro.

La Compañía y el Cliente en lo individual deberán mantener y hacer efectivas, durante la vigencia del presente Contrato y durante un año a partir de entonces, pólizas de seguro suficientes para proteger a dicha Parte contra cualquier pérdida o responsabilidad en la que pueda incurrir o sufrir a causa del Contrato.

 
12. Almacenamiento de los Materiales del Cliente.

La Compañía no tendrá responsabilidad alguna por cualquier pérdida, daño o destrucción de los Materiales del Cliente (ya sea que dichos Materiales del Cliente estén en posesión de la Compañía o de otra manera) y es responsabilidad del Cliente asegurarse de tener copias de seguridad apropiadas de todos los Materiales del Cliente. De conformidad con la Sección 11 anterior, el Cliente asegurará todos los Materiales del Cliente a su valor total contra cualquier riesgo. Cuando se suministren los Materiales del Cliente o el Cliente dé instrucciones específicas, la Empresa no acepta ninguna responsabilidad por cualquier reducción en la calidad de los Servicios causada por defectos o errores o por la inadecuación de dichos Materiales del Cliente o por el uso de los Materiales del Cliente por parte de la Compañía o la adhesión a cualquiera de las instrucciones específicas del Cliente.

 
13. Notificaciones.

Todas las notificaciones, solicitudes, consentimientos, renuncias y otras comunicaciones bajo el presente Contrato deberán hacerse por escrito y dirigirse a la otra Parte a la dirección que se indica en la Orden (o a cualquier otra dirección que la Parte receptora pueda designar ocasionalmente de conformidad con esta Sección). A menos que se acuerde lo contrario en el presente documento, todas las notificaciones deberán entregarse mediante entrega personal, mensajería nocturna reconocida a nivel nacional o correo certificado o registrado (en cada caso, con acuse de recibo y franqueo pagado), o por correo electrónico con confirmación de recepción.

 
14. Divisibilidad.

Si algún tribunal u otra autoridad de jurisdicción competente considera que algún término o disposición del Contrato (o parte de él) es inválido, ilegal o inaplicable, dicho término o disposición (o parte de él) se eliminará, en la medida en que sea necesario, del Contrato, y la validez y aplicabilidad de las restantes disposiciones del Contrato no se verán afectadas. Un tribunal de jurisdicción competente podrá modificar el término o disposición inválido, ilegal o inaplicable para reflejar la intención inicial de las Partes.

 
15. Renuncia.

Ninguna renuncia, incumplimiento o demora en el ejercicio de cualquier derecho por cualquiera de las Partes de cualquiera de las disposiciones del presente Contrato será efectiva a menos que se establezca explícitamente por escrito y sea firmada por la Parte que renuncia a ello. Las renuncias sólo serán efectivas si se establecen por escrito y son firmadas por la Parte contra la que se va a ejecutar la renuncia. Ninguna de las renuncias hechas por cualquiera de las Partes en virtud del presente Contrato se interpretará como una renuncia continuada al mismo o una renuncia a cualquier otro incumplimiento posterior del presente Contrato.

 
16. Asignación.

Ninguna Parte cederá, transferirá, delegará o subcontratará ninguno de sus derechos u obligaciones en virtud del presente Contrato sin el consentimiento previo por escrito de la otra Parte. No obstante lo anterior, sin el consentimiento del Cliente, la Compañía podrá (i) ceder cualquiera de sus derechos o delegar cualquiera de sus obligaciones a cualquier afiliado, o a cualquier empresa que adquiera todos o sustancialmente todos los activos de la Compañía o las acciones de la Compañía, o (ii) asignar o delegar cualquiera de sus obligaciones a cualquier subcontratista, vendedor o afiliado, siempre que la Compañía siga siendo responsable ante el Cliente por la ejecución de los Servicios en virtud del presente Contrato o (iii) ceder sus cuentas por cobrar en virtud del presente Contrato a un tercero prestamista en relación con una financiación aprobada. El presente Contrato es vinculante y redundará en beneficio de las Partes en el presente Contrato y sus respectivos sucesores permitidos y cesionarios permitidos.

 
17. Relación de las Partes. La relación de la Compañía con el Cliente será la de un contratista independiente.

Nada de lo contenido en el presente Contrato se interpretará como la creación de una agencia, sociedad, empresa conjunta u otra forma de empresa conjunta, empleo o relación de trabajo o relación fiduciaria entre las Partes, y ninguna de las Partes tendrá autoridad para contratar o vincular a la otra Parte de ninguna manera.

 
18. Sin beneficiarios de terceros.

El presente Contrato se celebra exclusivamente entre las Partes y sus sucesores y cesionarios permitidos, y no se considerará que el presente Contrato o cualquier Orden cree derechos a favor de terceros.

 
19. Resolución de controversias.

En caso de que surja una controversia en el marco del presente Contrato, las Partes harán todo lo posible, desde el punto de vista comercial, para negociar y resolver amistosamente dicha controversia. Las Partes acuerdan en primer lugar remitir cualquier controversia a sus respectivos gerentes. En caso de que los gerentes no consigan resolver la controversia en un plazo de diez (10) días hábiles a partir de su remisión, la controversia se remitirá al gerente inmediato superior de los respectivos gerentes de cuenta para su resolución. Si los gerentes inmediatos no logran resolver la controversia dentro de los diez (10) días hábiles siguientes a la fecha en que se les haya remitido la controversia para su resolución, entonces la controversia se remitirá a los gerentes senior superiores apropiados de las Partes. Sujeto a que se haya agotado o frustrado el procedimiento establecido en la presente Sección, nada de lo dispuesto en ella impedirá a las Partes iniciar o continuar los procedimientos de resolución de controversias en cualquier momento posterior, y conforme los términos de la siguiente cláusula.

 
20. Ley Aplicable; Resolución de Disputas; Renuncia al Derecho a Juicio ante Jurado.

Este Contrato y todos los documentos incorporados serán interpretados y regidos por las leyes de México, sin tener en cuenta los prinicipios de conflicto de leyes. Cada una de las Partes renuncia a cualquier derecho que pueda tener a un juicio ante jurado y acepta someterse a arbitraje confidencial. Cualquier controversia o reclamación que surja de este Contrato o que guarde relación con él o con su incumplimiento será resuelta mediante arbitraje administrado por el Centro Internacional para la Resolución de Disputas de conformidad con su Reglamento de Arbitraje Internacional. Cada Parte renuncia a cualquier defensa de forum non-conveniens, y acuerda irrevocablemente estar obligado por cualquier laudo arbitral dictado en este sentido en relación con este Contrato.

 
21. Fuerza Mayor.

La Compañía no será responsable, ni se considerará que ha incumplido o violado el presente Contrato por cualquier fallo o retraso en el cumplimiento de cualquiera de sus obligaciones en virtud del presente Contrato cuando y en la medida en que dicho fallo o retraso sea causado por actos o circunstancias que estén fuera del control razonable de la Compañía, incluyendo, sin limitación, caso fortuito, huelgas, incendio, inundación, explosión, disturbios civiles, actos de terrorismo, eventos epidémicos o pandémicos, interferencia de la autoridad civil o militar, accidentes, disputas laborales o escasez, o porque la continuación de los Servicios estaría en violación de cualquier ley, regla o regulación gubernamental o causaría o crearía cualquier preocupación material de seguridad, salud o medio ambiente o por otras causas más allá del control razonable de la Compañía.

 
22. Contrato Completo; Enmienda.

Este Contrato (compuesto por la Orden y estos Términos y Condiciones) constituye el único y completo acuerdo de las Partes con respecto al objeto de este Contrato y reemplaza todos los demás acuerdos, compromisos o entendimientos escritos y orales entre las Partes con respecto a dicho objeto. Todos los bienes o servicios ofrecidos por la Compañía estarán sujetos a estos Términos y Condiciones, que por el presente se incorporan a cualquier Orden entre la Compañía y el Cliente, con exclusión de cualquier término o condición estipulado o referido por el Cliente. Cualquier trato o negociación con la Compañía después de la recepción por parte del Cliente de la notificación de estos Términos y Condiciones se considerará automáticamente como aceptación de estos Términos y Condiciones a pesar de la ausencia de reconocimiento formal. Toda enmienda o modificación del presente Contrato se hará por escrito y será firmada por un representante debidamente autorizado en nombre de cada una de las Partes.
